Service Agreement & Consent

SERVICE DEPLOYMENT AGREEMENT

This agreement is between Vively Technology Solutions Private Limited (“Vively”) and the organisation named in this form (“Client”).

1. SOFTWARE LICENSE

Vively grants Client a non-exclusive, non-transferable license to use the deployed application (“Software”) for the subscription period. The Software remains the intellectual property of Vively at all times.

2. SOURCE CODE

Client acknowledges that the Software is provided as a compiled binary. No source code is provided or transferred. Client shall not attempt to reverse-engineer, decompile, or extract the source code of the Software.

3. SUBSCRIPTION AND PAYMENT

Access to the Software is contingent on an active subscription. Vively reserves the right to suspend access to the Software if subscription payments are not made within the grace period specified in the invoice.

4. DATA OWNERSHIP

All data entered into the Software by Client belongs to Client. Vively will not access, transfer, or delete Client data without written consent, except as required by law.

5. INFRASTRUCTURE

For self-hosted deployments, Client is responsible for maintaining their Cloudflare account and paying Cloudflare’s fees. Vively is not liable for Cloudflare service interruptions.

6. SUPPORT

Support is provided for the duration of the active subscription as per the plan selected. Vively does not guarantee response times outside business hours (IST).

7. TERMINATION

Either party may terminate this agreement with 30 days written notice. Upon termination, Vively will disable the Software. Client retains all their data.

8. GOVERNING LAW

This agreement is governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Kolkata, West Bengal.
